What are the differences between exFAT format and FAT32?

I bought a new 16gigs class 10 ultra mobile sd card, I want to get the most from it, I was suggested to format it to exFAT using PC.

my question is: what do you recommend me? format it? insert it without changing anything?

Note: i'll install most apps on it + media (videos, photos, music)

FORMAT it on the phone - then you'll get the optimal (correct ?) format.
