Why "Upgrade to Windows 10 Pro" failed to install

I am running 8.1 Pro on a Surface Pro 3.
I am not interested in updating to Win 10 at this point in time.

But my daily update keeps giving me, every day, a Failed to Install Win 10 message.

not critical, but annoying.
so, why is it so?

so no one knows why Windows is trying to update to Win 10 even tho I have not asked it to?
